Welcome to skoob, a service operated by SingNet Pte Ltd (“SingTel” or “we” or “us”) that provides users with access to discover, read and purchase ebooks from different publishers through multiple interface including SingTel’s skoob website, and mobile and web applications (the “Service”). These terms of Service (the “Terms”) govern our relationship with anyone who accesses the Service by any method or means, including but not limited to access of the Service through the internet or local machines such as personal computers, tablets and mobile devices.

Please read the Terms carefully. Your use of the Service constitutes your agreement to the Terms.

SPECIFIC TERMS AND CONDITIONS FOR SKOOB SERVICE (Updated December 2012)

1. Discount for Payment Method through SingTel Mobile Bill
1.1 This promo is open to all SingTel Mobile postpaid subscribers, valid till 31 Dec 2012.
1.2 10% discount applicable for payment through your SingTel mobile bill only, and only for titles from selected publishers only. Excluded publishers include and are not limited to Harlequin Mills & Boons, Simon & Schuster, Hachette and Wiley. Any discount, if applicable, will be shown at the checkout page.
1.3 SingNet may modify the list of selected titles at any time at its sole discretion.


2. Acceptance of Terms
2.1 The skoob website (the "Site") and the skoob application (the "App") (together, the "Service") are provided and operated by SingNet Pte Ltd ("SingNet").
2.2 Before you can access or use the Service, you must agree to be bound by the following terms and conditions of use (the “Terms”). You shall be deemed to have agreed to these Terms if you (a) download and install the App to a desktop, laptop, mobile device or obtain the App through any other means on any other device or medium; (b) click where indicated on the Site or App to agree to these Terms; or (c) commence access to or use of the Site or App. If you do not or cannot agree to these Terms, you will not be registered as a Subscriber, you are not permitted to and shall not access or use the Service and you must immediately cease any access to or use of the Service.
2.3 SingNet may modify these Terms at any time at its sole discretion, and such modifications shall be effective immediately upon posting of the modified terms to the Site or App. Your continued access to or use of the Service shall be deemed to be your conclusive acceptance of such modified terms.
2.4 The Service is not provided to you as part of any other product, service or offering (whether provided by SingNet or any SingNet Affiliate), no purchase or provision of any other product, service or offering shall be construed to represent or guarantee you access to the Service and the provision of any other product, service or offering by any SingNet Affiliate does not amount to a provision of the Service by such SingNet Affiliate.
2.5 Your access to or use of the Service and the Publications shall be subject to any other guidelines, procedures, policies and regulations which may from time to time be prescribed, introduced, varied and/or amended by SingNet, including:
2.51 SingNet’s Privacy Policy; and
2.52 SingTel’s General Terms and Conditions of Service (available at http://home.singtel.com/terms/default.asp?source=general&product_name=general), each of which shall be deemed incorporated into these Terms by reference. In the event of any conflict or inconsistency between these Terms, SingNet’s Privacy Policy and/or SingTel’s General Terms and Conditions of Service, such conflict or inconsistency shall be resolved in accordance with the provisions of SingTel’s General Terms and Conditions of Service.
2.6 Without prejudice to Clause 1.6, SingNet may impose additional terms in relation to specific portions or features of the Service, including contests, promotions or other similar features, all of which terms shall, unless expressly provided otherwise within such terms, be incorporated into these Terms by reference. In addition, certain content provided to you through the Service may be accompanied by its own licensing terms or terms of service and you may be required to accept such additional terms before you can access such content. If there is any conflict or inconsistency between such additional terms and these Terms, these Terms shall prevail.
2.7 Buying or accessing certain third party content on the Service, including the Publications, may require you to review, and accept or decline certain third party disclosures, policies, and agreements including but not limited to third party end user license agreements, privacy policies, and terms of service (“Third Party Terms”).
2.8 SingNet provides you with the Service. Third party content or features accessible via the Service is provided to you pursuant to the applicable Third Party Terms and SingNet is not a party to your contract with any Third Party Provider nor liable in any way for any matter related to such contract.

3. Registration and Eligibility for the Service
3.1 You acknowledge and agree that in order to be eligible to access and use the Service, you are required to satisfy all criteria set forth in Clause 2.3, including any amendments thereto that SingNet may from time to time make at its sole discretion.
3.2 In the event any such criteria has not been satisfied or ceases to be satisfied at any time whatsoever, or any provision of these Terms is not complied with, SingNet shall be entitled at its sole discretion to limit or vary, refuse to provide or suspend or terminate the provision of the Service or any part(s) thereof to you.
3.3 You agree and warrant that you are, and throughout your access to and use of the Service will be, in compliance with the following:
3.3.1 you are no less than 18 years of age;
3.3.2 you are responsible for maintaining the confidentiality of your account and password and for restricting access to your all devices installed with skoob application, and you agree to accept responsibility for all activities that occur under your account or password, including the actions of any other persons (including persons under the age of 18) who have access to or use your account. While products intended to be used by children may be sold on skoob, such products are sold only to you, and you will be responsible for the use of such products under your account;
3.3.3 you have registered to purchase Publications via the Service as an individual customer using your own registration details and password;
3.3.4 you are not at any time in arrears of any payments due to any of the SingTel Group Companies; and
3.3.5 you are legally capable and permitted to accede to these Terms and to perform your obligations under these Terms.
3.4 You acknowledge and agree that:
3.4.1 your access to and use of the Service is subject to your compliance with such requirements, including as to equipment and software, as specified on the Site or App or as SingNet may otherwise specify from time to time;
3.4.2 compliance with such requirements may require you to obtain equipment, software and services which may be available only from third parties and which may be subject to other terms and/or the payment of fees;
3.4.3 you shall use and maintain all such equipment and software in such manner as the relevant manufacturer may instruct, including installing such updates as may be required; and
3.4.4 your ability to access and use the Service, and the quality of your experience with the Service is dependent on the performance of equipment, software and services provided by third parties which is outside the control of SingNet and in respect of which SingNet makes no representation or warranty and shall have no obligation in respect thereof.
3.5 Your access to certain features of the Service may be activated and authenticated by your login credentials. You must not disclose your login credentials or any personal account information relating to the Service to any third parties. You shall immediately notify SingNet in the event of any unauthorised disclosure or use of your login credentials. Until SingNet is notified and for 7 (seven) working days thereafter (or such other period as SingNet may notify you), you shall be responsible for any and all consequences arising out of the unauthorised use of the Service.

4. Installation of the App Client and Use of the Service
4.1 If applicable, you shall allow SingNet or any Authorised Person to perform any necessary installation relating to the Service as SingNet may deem necessary. You agree to comply with all reasonable requirements of SingNet pertaining to the installation thereof, including requirements concerning the personal safety of any person or protection of any property.
4.2 Without prejudice to the generality of Clauses 2.4.2 and 4.1, you shall be liable for engaging or procuring at your own cost any equipment, software or services (including any mobile telecommunications service, broadband, fibre service or any other Internet connection provided by any Internet service provider, including SingNet), any third party installation or other professional services which may be necessary for the proper installation of the Service.
4.3 You shall be responsible for ensuring that all equipment and systems connected to the Service meet the minimum requirements as may be stipulated by SingNet for the Service to function effectively and that they are compatible and can properly function and inter-operate with the Service. SingNet is not liable or responsible for any failure in the Service or damage to equipment due to your use of equipment that has not been recommended.
4.4 You shall be liable for all damages in relation to the performance of SingNet’s network (including those arising out of the failure or degradation of any equipment) as may howsoever result from your non-compliance with the above obligation in clause 4.4. SingNet makes no warranty whatsoever regarding the ability or continued ability of the App Client to function and/or inter-operate with your equipment or system which does not meet the minimum requirements stipulated by SingNet and specifically disclaims any and all warranties or representations relating thereto whether express or implied.
4.5 For the avoidance of doubt, the following services do not form part of the Service and SingNet is under no obligation to provide any of the same: 4.5.1 procurement and installation of any hardware equipment, software or service (including any mobile telecommunications service, broadband, fibre service or any other Internet connection provided by any Internet service provider, including SingNet) that may be necessary to receive or use the Service; or
4.5.2 any service not available on the Service that is not otherwise expressly provided herein as being part of the Service.

5. The Service
5.1 As a Subscriber, you will be granted various rights and benefits in relation to the Service, including the right to utilise various services. You acknowledge and agree that:
5.1.1 if you purchase a Publication, content or other services via the Service, you will need to choose a payment method and will be subject to whatever terms are applicable to the access to, use of and payment for such Publication, content and services;
5.1.2 different rights and benefits may be granted to different Subscribers, as SingNet may determine, at its sole discretion; and
5.1.3 SingNet does not represent or warrant the continued availability of any right or benefit, including the availability of any Publication, and may, at any time in its sole and absolute discretion, revise, vary or withdraw any right or benefit, even if such right or benefit had previously been granted to you.
5.2 The rights and benefits granted to you by SingNet are not transferable or assignable without SingNet’s prior written consent and you acknowledge and agree that any such transfer or assignment by you shall be void.
5.3 You represent and warrant that your access to and use of the Service will not compromise the security or integrity of SingNet’s systems, networks, site(s) or servers, whether by allowing intruders into the same, introducing viruses or other threats, imposing a disproportionate or unreasonably large load on the Service or its infrastructure, or using any computer programming routine, file, or device to damage or interfere with the operation of the Service or its services.
5.4 You acknowledge and agree that the Service and certain Publications may include or utilise technology that limits your use of the Service and that, whether or not the Service and such Publications are so limited by technology, you shall use the Service and the Publications in compliance with these Terms and any valid end user licence agreements and all other terms applicable to such Publications (where applicable).
5.5 Your usage of the Service may be controlled and monitored by SingNet or Third Party Providers (where applicable) to ensure your compliance with these Terms or to satisfy any law, regulation or any request of any applicable authority.
5.6 You are authorised to access and use the Service and to access the Publications only for your personal and non-commercial use. You shall not, and shall not allow any other person to, use the Service in any way other than as set out in these Terms, without SingNet’s prior written consent, and you shall not split, redirect, redistribute, rebroadcast, or otherwise deal with, offer or supply the Service or any Publications or other content available via the Service or part thereof in any manner whatsoever.
5.7 You agree to access and use the Service in a manner consistent with all applicable laws and regulations. Specifically, you will not:
5.7.1 access or use the Service to post, transmit, distribute, link to or solicit content that:
(i) contains any advertising or promotional messages;
(ii) violates or infringes any laws, regulatory requirements or codes applicable in Singapore;
(iii) violates or infringes any copyright, trademark or any other intellectual property, proprietary, privacy or publicity rights of any person, or violates any obligation of confidence or any other proprietary right;
(iv) contains any obscene, offensive, defamatory or otherwise actionable material;
(v) undermines the security or integrity of the Service, including by importing any viruses, Trojan horses, time bombs or other disabling devices intended to detrimentally interfere, damage, surreptitiously intercept or expropriate such equipment, systems or networks;
(vi) contains any errors, whether technical or otherwise; or
(vii) contains any material in any form that would otherwise render SingNet or the SingNet Affiliates liable or expose them to any proceedings whatsoever;
5.7.2 cause, nor knowingly allow others to cause, any nuisance, annoyance or inconvenience to any person, including without limitation to SingNet, the SingNet Affiliates or other Subscribers by any means;
5.7.3 use any robot, spider, or other automatic or manual device or process to monitor or copy SingNet’s web pages or any portion of the content contained herein without SingNet’s express written permission;
5.7.4 use any device, software or routine to interfere or attempt to interfere with the proper working of the Service, or to impose an unreasonably or disproportionately large load on the servers serving the Service;
5.7.5 use or exploit the Service or any other information or content provided to you pursuant to your access to or use of the Service in any manner not expressly authorised by the relevant and appropriate parties concerned, which may include the relevant copyright owner of the information or content; or
5.7.6 attempt to violate, tamper with or circumvent any security measures, encryption codes or technological protection measures in or used in connection with the Service or otherwise engage in any illegal activity in relation to the Service, or enable or assist any person to do so.
5.8 SingNet hereby grants you a licence to use the Site, the App and the App Client solely for the purposes of using and accessing the Service in the manner set out herein and in accordance with SingNet’s instructions. The licence granted to you does not include any right to copy, reverse-engineer, decompile, modify or tamper with the App Client or any part of the Service or the Publications or any content accessed via the Service. Without prejudice to Clause 13, SingNet may, at sole discretion, modify the terms on which such licence is granted or, in the event that you breach any of these Terms, revoke such licence.
5.9 On an on-going basis, SingNet will make changes and additions to the Service, including but not limited to new products, features and functionality. Your continued use of the Service after these new changes and/or additions have been made will indicate your acceptance of any such changes and/or additions.
5.10 SingNet reserves the right at any time to discontinue (temporarily or permanently) the Service, or any part thereof, without notice or liability to you or any third party.

6. The skoob Store
6.1 All descriptions and information relating to the eBooks made available through the Service Store are provided for convenience only, and You agree that SingTel does not guarantee their accuracy or completeness.
6.2 You acknowledge and agree that the eBooks made available through the Service Store are licensed and not sold to You, and that the licence for each eBook that You obtain access to through the Service Store is subject to the rights of the relevant Third Party Provider and is limited in scope to a non-exclusive, non-transferrable, licence for You (and not a third party) to access the eBook via the Service, in Singapore for Your personal and non-commercial use. This licence confers no title or ownership. You further acknowledge that, in respect to each eBook:
6.2.1 SingTel and/or the Third Party Provider of the eBook reserves all rights in and to the eBook including all content contained therein not expressly granted to You; and
6.2.2 You will comply with all restrictions and provisions set out in clause 7 below.
6.3 Your access to the eBooks will be subject to Your payment of certain Fees which will be paid in accordance with specific billing terms and clause 9 below.
6.4 You acknowledge that certain eBooks may possess functionalities that require You to procure additional services, licenses, products or devices and SingTel is not obliged to provide any such additional services, licenses, products or devices to You.
6.5 You acknowledge and agree that the SingTel Affiliates are third-party beneficiaries of this Agreement and SingTel and the SingTel Affiliates are third-party beneficiaries of the Third Party Provider’s licence agreement for each eBook. You also agree that, upon Your acceptance of these Terms and if applicable, the terms of any separate licence to each eBook, SingTel will have the right (and will be deemed to have accepted the right) to enforce such licence agreement against You as a third-party beneficiary thereof.
6.6 Once your order for an eBook or related product (such as bundle or subscription) has been placed, you will receive an email confirming your order. Once you have placed an order for an eBook or related product, you cannot cancel it.

7. Intellectual Property Rights
7.1 All trademarks, trade names, logos and service marks appearing on the Service or the Publications (including the SingNet name or any trademarks of SingNet) belong to SingNet, SingNet Affiliates and/or its content providers, including the Third Party Providers. In particular, the grant to you of a right to access and use the Service and/or the Publications shall not be construed as granting, by implication, estoppel or otherwise, any licence or right to use the trademarks, trade names, logos or service marks appearing on the Service or the Publications without the prior written consent of SingNet and/or its content providers. You may not, without SingNet’s prior written consent, use any such trademarks, trade names, logos or service marks as a hyperlink to the Service or the Publications or any other website. Any rights not expressly granted herein are reserved.
7.2 The content contained in the Service or the Publications (including, but not limited to information, communications, software, images, drawings and sounds contained on or available via the Publications and/or Service), and all intellectual property rights in, to or over such content, is provided by and belongs to SingNet and/or its content providers. All rights are expressly reserved. You shall not reproduce, modify, transfer, distribute, republish, download, post, transmit, sell, rent, lease, display, perform, broadcast, sub-licence, assign or otherwise make available any rights in or to any content contained in or made available via the App or the Publications, in any form or by any means including but not limited to electronic, mechanical photocopying or recording without the prior written permission of SingNet or the relevant copyright owner.
7.3 You may only access and use the Site, the App, the App Client or the Publications in Singapore in the manner advised by SingNet, and you shall not, or attempt or assist another person to, tamper, modify, reverse-engineer, disassemble, decompile or otherwise use any part of the Site, the App, the App Client or the Publications in any manner not expressly permitted by SingNet or create derivative works based on the Site, the App, the App Client or the Publications. For the purposes of these Terms, "reverse engineering" shall include the examination or analysis of the Site, the App, the App Client or Publications to determine the source code, structure, organisation, internal design, algorithms or encryption devices of the underlying technology of the Service.
7.4 You agree not to remove any copyright or other proprietary notices from the Site, the App and/or the Publications. You also agree not to bypass, modify, defeat, circumvent or disable any security or other technical features (including the DRM used to delivery or protect the Publications) that prevent or restrict the use or copying of the contents contained in the Site, the App and/or the Publications.

8. Technical Support
8.1 SingNet shall use reasonable endeavours to provide you with technical assistance and support as set out in and in accordance with the technical support details available on the Site or App (if any).

9. Billing, Payment and Fees
9.1 You shall pay to SingNet or its authorised billing agent the Fees and any other sums due or payable to SingNet in accordance with the relevant terms of the applicable payment methods as prescribed by SingNet.
9.2 If you purchase access to a Publication, content or other services, you will need to choose a payment method and will be subject to the terms that are applicable to that payment method.
9.3 By accessing the Service, data charges may be incurred by your network provider.
9.4 You shall bear and pay all Taxes. If you are required under any applicable law to deduct or withhold any sum as Taxes imposed on or in respect of any amount due or payable to SingNet, you shall make such deduction or withholding as required and the amount payable to SingNet shall be increased by any such amount necessary to ensure that SingNet receives a net amount equal to the amount which SingNet would have received in the absence of any such deduction or withholding.
9.5 You acknowledge and agree that SingNet may assign to other entities its right to bill and collect the Fees under these Terms.

10. Accounts
10.1 You do not have the right to share your Account with any third party. You are solely responsible for maintaining the confidentiality of your Account and password and restricting access to your computer, and you agree to accept responsibility for all activity on your Account, including violations of these Terms by any third party that accesses the Service through your Account, and for the security of your Account. You also agree to the following:
10.1.1 if so requested, you will provide accurate and up-to-date email address, contact and billing information to SingNet;
10.1.2 you will use the Service only for purposes that are permitted by (a) these Terms and (b) any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdictions;
10.1.3 you will notify SingNet of any unauthorised use of your Account, any impending or threatened event that may negatively impact the Service, security of the Service, or any other violation of these Terms known to you, including by third parties that have accessed the Service through your Account;
10.1.4 you will not make any attempt to access the Service via any means or interface other than those which have been provided to you by SingNet, unless you have been granted explicit written permission by an authorised representative of SingNet to do otherwise;
10.1.5 you will not engage in any activity that interferes with or disrupts, degrades, harms or threatens to harm the Service, security of the Service, our servers or use of the Service by any of our users;
10.1.6 you will not represent to any third party that you are a SingNet employee or an authorised representative of SingNet;
10.1.7 you will not transfer or share your Account with any other party. You may not transfer or share your Service login credential information with any other party; and
10.1.8 you will not tamper with in any manner, disassemble, reverse engineer, or otherwise modify any hardware or software of the Service made available to you.
10.2 The listing of any prohibited activities above is not exhaustive. SingNet reserves the right to determine that any conduct that is or could be harmful to the Service, our servers, or use of the Service by any of our users, is in violation of these Terms and to exercise any or all of the remedies contained in these Terms.

11. Disclaimer of Warranties
11.1 SingNet does not make any express or implied warranties, representations or endorsements whatsoever (including warranties of title or non-infringement, or warranties as to merchantability or fitness for a particular purpose) with regard to the Site, the App, the App Client or any Publications provided through the Service and the Service Store.
11.2 The Service and/or the Publications may include links to sites on the Internet that are owned or operated by third parties. If you choose to use such links to access such sites, you agree to review and accept such sites’ terms of use before accessing such sites. You access such third party sites at your own risk. SingNet does not assume any responsibility for material created or published by such third party sites, and by providing a link to such third party sites, SingNet does not imply that SingNet endorses the sites or the products or services referenced in such sites.
11.3 You acknowledge that SingNet has no control over, excludes all liability for and cannot be deemed to have endorsed the content of any material which can be accessed by accessing or using the Service, including the content that may be accessed through the Service. In particular, SingNet disclaims all warranties:
11.3.1 as to:
(i) the availability of any such content;
(ii) the accuracy, quality or merchantability of such content;
(iii) compliance with any description or requirement of such content; or
(iv) the uninterrupted viewing of or access to such content;
11.3.2 that such content will not:
(i) contain any obscene, offensive, defamatory or otherwise actionable material;
(ii) contain any advertising or promotional messages;
(iii) violate or infringe any copyright, trademark or any other intellectual property, proprietary, privacy or publicity rights of any person, or violate any obligation of confidence or any other proprietary right;
(iv) contain any viruses, Trojan horses, time bombs or other disabling devices intended to detrimentally interfere, damage, surreptitiously intercept or expropriate any equipment, system or network; or
(v) contain any material in any form that would otherwise render you liable for or expose you to any proceedings whatsoever; or
11.3.3 that the access to, presence of, viewing of or downloading of any such content will not breach any applicable laws.
11.4 The Service and all Publications are provided on an "as is, as available" basis.
11.5 SingNet takes certain industry-accepted precautions to secure the Service or portions thereof. However, SingNet does not warrant that:
11.5.1 the use of the Service will meet your requirements;
11.5.2 the Service will always be available;
11.5.3 your use of the Service will be uninterrupted, timely, secure, error-free or virus-free, or free from other invasive or damaging code;
11.5.4 the quality of any products, services, information, or other material (including the Publications) purchased or obtained by you through your use of the Service will meet your expectations; or
11.5.5 any errors in the Service will be rectified.
11.6 You assume total responsibility and risk for your use of the Service and/or the Publications. Any content downloaded, uploaded or otherwise obtained through your use of the Service is done at your sole and absolute discretion and own risk. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the Service or on the Internet generally.
11.7 SingNet reserves the right to include, maintain or remove Publications from the Service Store at any time without notice and shall have no liability in respect of any such inclusion, maintenance or removal, including when previously downloaded or available Publications subsequently become inaccessible or unavailable for download or use or where Publications are provided by Third Party Providers whose agreements with SingNet have been terminated for any reason.
11.8 Without prejudice to the generality of the foregoing, save as expressly agreed in writing, SingNet does not make any representation or warranty in relation to the Service or any services, content or product available via the Service and you acknowledge and agree that SingNet shall have no liability or responsibility to you or any other person in relation to any such service, content or product. Should you choose to access or use any such service, content or product, you shall be solely responsible for compliance with all applicable laws in relation to the access to or use of such service, content or product.
11.9 To the extent permitted by applicable law, SingNet hereby excludes all warranties, rights and remedies (including warranties implied by statute or otherwise) to which you would otherwise be entitled by law.

12. Exclusion of Liability
12.1 To the extent permitted by applicable law, in no event shall SingNet, or any of its Affiliates, be liable to you in any way whatsoever for any loss, damages or costs, whether in contract or tort (including negligence or breach of statutory duty) or otherwise arising out of or in connection with these Terms or your access to or use of the Service and the Publications.
12.2 If you are dissatisfied with any portion of the Service or with any of these Terms, your sole and exclusive remedy is to terminate these Terms and discontinue your access to or use of the Service.

13. Your Warranty & Indemnity
13.1 You represent and warrant that (i) you have the full power and authority to enter and perform under these Terms, (ii) the execution and performance of your obligations under these Terms does not constitute a breach or conflict with any other agreement or arrangement by which you are bound, (iii) these Terms impose legal, valid, and binding obligations on you, and (iv) any information provided by you for the purposes of your access to or use of, or in the course of using the Service, was true, accurate and complete at the time you provided it.
13.2 To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless SingNet, the SingNet Affiliates, their respective officers, directors, employees and agents and the Third Party Providers from and against any and all actions, claims, proceedings, costs (including legal costs incurred by SingNet or any of the SingNet Affiliates in defending any such actions, claims or proceedings), liability, losses and damages whatsoever which may be brought or commenced against SingNet or any of the SingNet Affiliates by any person and/or which SingNet or any of the SingNet Affiliates may sustain, incur or suffer, as the case may be, arising out of or in connection with or by reason of:
13.2.1 your access to or use of the Service and/or the Publications;
13.2.2 your breach of any of these Terms;
13.2.3 any action taken by SingNet as part of its investigation of a suspected violation of these Terms or as a result of its finding and decision that a violation of these Terms has occurred; or
13.2.4 your infringement or violation of any rights of a third party.
13.3 Your obligations under this Clause 12 shall survive any termination of your Account, your use of the Service, or your relationship with SingNet. SingNet reserves the right to assume the defence and control of any matter subject to indemnification by you, in which event you shall cooperate with SingNet in asserting any available defences.

14. Termination of your Account
14.1 SingNet may suspend (indefinitely or for such period as it may consider appropriate) or terminate your Account and your use of and access to the Service at any time in its absolute discretion.
14.2 SingNet may also terminate your Account and your access to and use of the Service immediately by written notice to you if:
14.2.1 you have, or SingNet has reason to believe that you have, committed a breach of any of these Terms;
14.2.2 you have, or SingNet has reason to believe that you have, engaged in any activity that may hinder or adversely affect SingNet’s provision of the Service or the performance of the Service;
14.2.3 SingNet is acting in compliance with a requirement of any relevant regulatory authority or law enforcement body;
14.2.4 you become bankrupt; or
14.2.5 SingNet withdraws, discontinues or cancels the provision of the Service.
14.3 Upon the termination of your Account for any reason:
14.3.1 you shall immediately cease all access to and use of the Service and will cease to have any rights and benefits as a user of the Service, including access to the Publications;
14.3.2 all sums due or accruing due or payable to SingNet under these Terms up to and including the date of termination shall become immediately due and payable to SingNet;
14.3.3 your licence to use the App Client embedded in the Service shall cease and you shall immediately uninstall the App Client and shall retain no copies of the same; and
14.3.4 save for the provisions of Clauses 8, 12 and 13 to 16, no party shall have any further obligations to the other party under these Terms.
14.4 SingNet’s rights of termination under this Clause 13 shall be without prejudice to any other rights or remedies which SingNet may have under these Terms.
14.5 Suspension or termination of your Account shall not affect the rights of SingNet or your obligations under any other agreement or any indemnity given by you to SingNet thereunder.
14.6 You shall not be entitled to any payment, compensation or damages of any sort from SingNet in relation to the termination of your Account.
14.7 The termination of your Account and your access to and use of the Service shall not release any party from any liability which at the time of termination has already accrued, or which thereafter may accrue.

15. Assignment
15.1 You shall not assign, transfer or encumber any or all of your rights, interests and obligations under these Terms without the prior written consent of SingNet.
15.2 SingNet may assign and transfer any or all of its rights, interests and obligations under these Terms to any third party without your prior written consent.

16. Miscellaneous
16.1 No failure to exercise or enforce, and no delay on the part of SingNet in exercising or enforcing its rights under these Terms shall operate as a waiver thereof nor shall such failure or delay in any way prejudice or affect the right of SingNet at any time thereafter to act strictly in accordance with its rights and powers under these Terms.
16.2 Any provision of these Terms which is held invalid or unenforceable in any jurisdiction shall be ineffective to the extent of such invalidity or unenforceability without invalidating or rendering unenforceable the remaining provisions hereof, and any such invalidity or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provisions in any other jurisdiction.
16.3 SingNet may notify you of matters related to the Service by sending an email message to the email address listed under your Account, or by a posting on the Site or App. Notices shall become effective immediately.
16.4 SingNet reserves the right to take such steps as SingNet believes are reasonably necessary or appropriate to enforce and/or verify compliance with these Terms.

17. Governing Law
17.1 These Terms and your access to and use of the Service shall be subject to and governed by the laws of the Republic of Singapore without regard to conflict of law provisions. You agree that any dispute arising out of these Terms shall be resolved exclusively in the courts of the Republic of Singapore.

18.Definitions
18.1 In these Terms, the following words and expressions shall have the following meanings:
18.1.1 “Account” shall mean your user account for the Site or the App.
18.1.2 “App Client” means the machine readable binary code of the software application required to access and use the App, and any modifications or updates thereto that SingNet may make available to Subscribers from time to time in its discretion.
18.1.3 “Authorised Person” means any contractor(s), agent(s) or supplier(s) duly authorised by SingNet to carry out installation and the provisioning of the Service and equipment or any part(s) thereof in accordance with these Terms and on behalf of SingNet.
18.1.4 “Publications” means the publications (including eBooks or eMagazines), which are published by a Third Party Provider and made available for purchase on the Service via the Service Store.
18.1.5 “Fees” means the fees payable for the registration for, subscription to, access to and use of the Service, including the fees payable for any Publications you have purchased, and such other fees, in each case as SingNet may inform you from time to time, whether via the Site, the App or otherwise.
18.1.6 “Qualified Foreigner” means a person who is not a citizen of Singapore and who, in accordance with the applicable Laws, is an employment pass holder, work permit holder or dependant pass holder (with a minimum validity period of 12 months).
18.1.7 “SingNet Affiliate” means SingNet’s related corporations (as such term is defined in section 6 of the Companies Act (Cap. 50)).
18.1.8 “Service Store” means the online store for the purchase of Publications provided by SingNet on the Service.
18.1.9 “SingTel Group Companies” means Singapore Telecommunications Limited, a company incorporated in Singapore with its registered address at 31 Exeter Road, Comcentre, Singapore 239732 and its related corporations (as such term is defined in section 6 of the Companies Act (Cap. 50)).
18.1.10 “Subscribers” means the members of the public, including you, who access and use the Service and/or purchase, download and/or use the Publications and “Subscriber” means any one of them.
18.1.11 “Taxes” means all taxes (including goods and services taxes), duties, levies, and other similar charges (and any related interest and penalties) however designated, imposed under any applicable law with respect to the sale or provision of any Publication to you or on any fees or payments due or payable to SingNet by you.
18.1.12 “Third Party Provider” means the third party provider, licensor and/or owner of a Publication or any other content on the Service or any intellectual property rights therein.
18.2 The headings or titles to the Clauses in these Terms are to facilitate reference and shall not be referred to or relied upon in the construction of any provision of these Terms.
18.3 Where the context so admits, the singular shall include the plural and words in the masculine gender shall include the feminine and neutral genders and vice-versa.
18.4 The word “including” shall not be construed as being by way of limitation and “otherwise” shall not be construed as limited by words with which it is associated.
18.5 References to any “person” include any natural person, corporation, judicial entity, association, statutory body, partnership, limited liability company, joint venture, trust, estate, unincorporated organisation or government, state or any political subdivision, instrumentality, agency or authority.
